I sent a rec back to the manufacturer and the ser# was differant on the replacement. How is this legal?

It's not. Given the ATF's logic for requiring a another transfer tax when replacing the exterior of a suppressor with the same serial number, it wouldn't be legal without a transfer via an instate dealer even if the same serial number was used on a new receiver.
