as i posted a few pages ago, just because you pay does not mean you are up to date on terms
if you owe 2mm and you send in 1mm of payments...you are still behind...no product shipment

Nearly everything we buy comes through a middleman of one sort or another. Prime delivered a top notch product at a competitive price point. Coupled with the fact that they serve us, the end user, with what up until this hiccup was outstanding customer service. Customer service, not just investor appeasements, is the reason they will pull through. They have been there for and with us. And for that, they have my respect AND support.

If you look the 6CM/4S Ammo was taken care of in August, it could have been a ploy to get Prime to pay a bigger chunk of their loan, but the 6CM/4S stuff was on the record to be made for months if not longer. Then in Oct it all shut down with the management change.
They stalled the talks until SHOT and they both sides walked away again until just this week. The tactic tied everything up with no real exit in sight until finally, the countersuit was posted.

If you look the 6CM/4S Ammo was taken care of in August, it could have been a ploy to get Prime to pay a bigger chunk of their loan, but the 6CM/4S stuff was on the record to be made for months if not longer. Then in Oct it all shut down with the management change.
They stalled the talks until SHOT and they both sides walked away again until just this week. The tactic tied everything up with no real exit in sight until finally, the countersuit was posted.
The order of the business, the payments towards, X Y or Z, and then the new order of ammo vs how far back do they claim nonpayment
I didn’t read that any ammo was to be returned to RUAG. Rather any unsold ammo that was on initial order terms was to be paid in full at end of 2 years.
Then 2nd agreement was reached with the outstanding balance on initial order becoming a loan.
Whatever our interpretations may be, it’s a shitty situation for Prime
I have been through something similar on a smaller scale with a supplier. If they are in another country and/or you don’t have deep pockets for legal fees, you are at their mercy. Also they will do things to make YOU burn the relationship (like threatening them with legal action) so they feel they can do what they want with your designs. It’s the 5th level of hell and destroys good small businesses every day.

After listening to Jim's interview on @Lowlight 's EDS podcast, I think I should rescind my previous comment (and it's bleak view). I had not factored in the different business model of Prime, as well as the unique (and un-quantifiable) relationship with their customer base. I also noted the lesson learned here, should they prevail; no single source for any component. If they are not going to load their own ammunition, this is the only viable option, and wish them well in finding the vendors that they need to continue their business.
Finally, I think we should all thank Frank for bringing this to light, and in full detail (both sides of the story) with his podcast and far reaching voice. RUAG was definitely slowly starving Prime, and bringing this to light (I think) was needed.
As for crowd sourcing ammo...Id vote for a .224 Valkyrie offering.

I feel bad for Jim and the precision community. RUAG has the resources to see this through, I'm afraid Jim may not as it could easily take $250K just to get through depositions, and another $250K for trail, and with no guarantees. I'm surprised Jim didn't file an emergency order for the immediate release of his frustrated ammo.

Google gets the majority of their revenue from ads and cloud hosting. Apple model is going the same way which is why they are building massive data centers all over the world.
Not to even mention both of these companies are market movers...litterly some of the biggest multi Nationals In the world. Hundreds of companies have sprung up specifically to supply and support them. Prime is a small company relying on the big boys to do their lifting. It's apples to space shuttles comparison.
Apple or Google says jump and half the world says how high. You think prime has dozens of companies lining up to help them succeed, sometimes at a loss to get a foot in the door?

I wouldn't advocate getting malicious - didn't mean to sound that way. But as Theis pointed out, it's probably best to wait for the court's decision and not risk additional legal action. Heck of a world, eh?
Let's hope Jim has all of his payment records and can show the court that he was compliant with his contracts with RUAG. I heard him on your podcast and watched his YouTube video about the case. Seems like a standup guy.
I read through a lot of this and just want to be sure without reading it again. Was the new agreement in place after SHOT show 2018 which would explain why the change in how frequent the payments were being made?

I'm a bit late to the comments on this, but did read through the whole pdf. What a mess! Regardless of what the court decides, I'm convinced RUAG is working to squash PRIME because of their wildly successful Direct to Consumer business model. This model and any eCommerce sales have been killing traditional retail sales models for the past several years. RUAG is clearly trying to protect it's own interests in selling the Norma brand of which PRIME is directly competing. Lesson about contracts is they can be broken, and in this case there are many levers RUAG can pull to put PRIME out of business. The dollars in the court docs are rounding errors for RUAG and are a small price to pay in order to enter into and compete in the space once occupied by PRIME (read take PRIME down).
For PRIME: Who are the contract manufacturers in ammunition manufacturing that do not own brands and have capacity and know how to produce high quality precision ammunition? Is there anyone in the USA that operates in this space? Sure, RUAG makes great products, but if I remember correctly from the Precision Rifle Media podcasts Jim was on a few years ago, the specifications are solely set by PRIME and would be transferable elsewhere.

Black Hills supplies to the military - I’ve always actually been shocked they have the capacity left over for civilian sales.
This all really sucks for PRIME but it isn't shocking in the business world. It is fairly likely neither side is 100% innocent but RUAG decided that business with PRIME was not something they wanted to continue with.
It is bad business to allow PRIME to move to another manufacturer and allow them to be a competitor. Squashing them and keeping their recipes is how big business stays big.
Not right, but possibly avoidable had PRIME been safeguarded itself along the way. Nice guys finish last, trust no one, it's just good business, there is a reason all these sayings exist.

Really dumb question here. I found some Prime ammo at Targetsportsusa, just did a quick search and saw some 9mm and .308. Is this the same ammo that is in question here? Did Ruag sell the inventory that is being withheld from Prime to another vendor?
