Im not casting dipersions in ANY direction but this whole thing sounds wildly wrong. When LWRC was on the brink of going belly up Matech stepped in and took controlling interest in the Co. The total number of shares being discussed here doesnt even scratch the surface of the debt I believe LWRC was carrying at the time. I dont know what todays status is but if it were me I wouldnt even pay a doller for it due to the risk of the debt. If it is someone that is truly in the know and in that position, giving up that much equity would be a BIG concern for me. If any of this is true Id be placing my money on Matech getting ready to flush the toilet.

Or somebody is just getting some easy cash! Innovative as LWRCI has been these days, I don't anticipate any problems with their bottom line! Why does it have to be an indication of a problem? People buy and sell privately held shares all the time, the only difference is that this is for a popular firearms company - hence bringing it up on a popular firearms forum. Makes good marketing sense, to me. I don't know PistonPete from Adam, but if I were helping someone sell similar shares I'd probably start here, too.

As an LWRC stockholder, I can say that this offer is for less than .1% of the total shares outstanding and in my opinion is a reasonable (possibly low) asking price. Time will tell what the company is ultimately worth.

LWRC piston rifles
LWRC of Springfield, VA features short-stroke piston-operated rifles in 5.56 NATO and 6.8 SPC. (Haven't heard much about 6.8 SPC in a while.)

David Crane @ Defense Review has a detailed post on the company's premiere offering, the M6A2. Peter G. Kokalis also gave it a good review.
While David Crane spells out LWRC as "Land Warrior Resource Corporation," the History page at the LWRC says "Leitner-Wise Rifle Company." Whichever. Apparently they are "migrating" the name to what DC says, though it's hard to find that spelled out on their site.

Business Wire on 09NOV2004 announced:
HOUSTON -- American Security Resources Corporation (OTCBB:ARSC), www.americansecurityresources.com, announced today that it has signed a Memorandum of Understanding with principal shareholders and officers of Leitner-Wise Rifle Company (LWRC) to acquire all the stock of LWRC.
This looks like the result of a serious financial situation (either bankruptcy or approaching bankruptcy), but we can't tell for sure.
In January of 2006, the company was purchased in a Management Buyout by Pat Bryan who is the Chairman/CEO of LWRC and an Army Veteran (according to LWRC's History page)
This is the evolution of the Leitner-Wise company which once offered a .499 LW rifle using a proprietary cartridge, which was quite the sensation when revealed in 2002. The logo is the same as that used by Leitner-Wise (as ACE recalls). If one enters the URL www.leitner-wise.com/, one will be directed to the LWRC site. Here's a 14MAR2004 A-C-E post on the .499 L-W "Mini-50," now apparently defunct. (A company rep on the forum says they will bring it back, with redesigned cartridges and a piston, but it's low priority.) Paul Leitner-Wise apparently sold out, as he's not listed in the LWRC contact list.
Perhaps a member of the current LWRC management will be so kind as to post a comment explaining exactly what transpired, to clarify or correct these deductions. Confirmed facts are preferred.
Fortunately, the .50 Beowulf by Alexander Arms (the head-to-head competitor of the .499 L-W, also proprietary and also made in VA) is still in production. But, the demise of the .499 L-W (which DefRev once considered to have a "very bright future") illustrates the risk of buying a weapon with a proprietary cartridge. If and when there is a new .499, it will probably have a tapered cartridge, and thus will probably not be suitable for the old .499 without at least a barrel change.
On the LWRC forum, "Darren" (presumably the VP, Business Development) mentions the .499 L-Ws sold to the Coast Guard.
"The .499 has been a pain in the ass for us as there are a number of ex coast guard uppers floating around the marketplace. They were made by LMT and the quality is not on par with what we expect."
As ACE reported on 18JUL2004, the Coast Guard canceled the contract due to reliability problems. That pretty much stopped the forward progress of the .499 L-W into the military, and adversely affected its acceptance by LE. "Darren" calls it "a tinkerer's dream>"
The .499 caliber (really just a few thousands less than .500) was selected to avoid problems in some ports which only allow patrol weapons under .50 caliber. This ploy might also get around some state laws expressly prohibiting .50 caliber weapons, at least until they rewrote them.
This 16-page AR15.com forum thread shows the very loooong delay in fulfilling a Group Buy (only partially caused by a fire causing the Alexandria facility to be condemned).
UPDATE: Apparently Paul Leitner-Wise was ousted from LWRC after it was determined he was posting negative comments about competitors' firearms and false excuses for LWRC delivery delays under a pseudonym on firearms boards, as semi-documented in this HKPRO forum thread (read down to find the interchange). Thanks to CH77 for alerting us to this in a comment.

Then others who had communicated with both Paul L-W and his alter ego Hipfiredgun & others checked into it also. They both came up with the same answer. They were the same person or at the very least posting from the exact same computer.

Bill Alexander of Alexander Arms expressed his disgust at the tactics on his 6.5 Grendal forum:

1630 DST TUESDAY UPDATE
Firearms historian Daniel E. Watters notes, in a commenet, the major investment Koniag, Inc., an Alaskan Native Claims Settlement Act (ANSCA) company, pumped into Leitner-Wise as the major shareholder beginning in 2004, only to see L-W lose nearly $2 Million in 2005 and $2.5 Million in 2006. Koniag took a writeoff to divest itself of L-W in 2006, as noted in its 2006 Annual Report:

DEW also provides a link to awards recently given to contractors by the National Small Arms Technology Consortium. L-W only received $10,488.
Where is Paul Leitner-Wise (PLW) now? Don't know, but he has a patent for generating energy from explosions, so perhaps that will be his next hot rock. Maybe the energy created from firing a weapon could be used to recharge the batteries in the scope, eliminating the need for changing batteries or recharging for active troops.

Watters notes, in a commenet, the major investment Koniag, Inc., an Alaskan Native Claims Settlement Act (ANSCA) company, pumped into Leitner-Wise as the major shareholder beginning in 2004, only to see L-W lose nearly $2 Million in 2005 and $2.5 Million in 2006. Koniag took a writeoff to divest itself of L-W in 2006, as noted in its 2006 Annual Report:

EASTERN SHORE, MD ‐ Richard “Dick” Bernstein began making contributions to economic growth on the
Eastern Shore of Maryland 38 years ago when he started a small microwave component manufacturing
company in Salisbury.
Over 30 years ago, Mr. Bernstein and one other person began K&L Microwave. Though he is not an
Economic Development professional, Dick Bernstein has pioneered the growth of modern
manufacturing on the Eastern Shore, built one of the top microwave industry clusters in America, and
created more jobs in the eight counties east of the Chesapeake Bay than any other single person in
Maryland’s Eastern Shore history.
Dick obtained an Engineering Degree. After college, Dick worked as an engineer in telecommunications
in several companies on the Western Shore and Indiana. He married and began raising a family. In early
1970 a recession hit and Dick’s Indiana employer was downsizing. Dick returned home and to start his
own small company.
At age 29, he began K&L Microwave in Salisbury, MD with himself and one other employee. But Dick led
K&L Microwave to success, and when he sold it 13 years later it employed 250 people and sold over $15
million that year. Five years later K&L sold $25 million, and today the company employs over 500
workers. Dick purchased another microwave technology manufacturer, Lorch Microwave and brought it to Salisbury.
Additionally, entrepreneurs employed by Dick spun off their own microwave technology companies
increasing the industry sector exponentially and making the Salisbury area one of the largest clusters of
its kind in the United States.
Dave Ryan, Executive Director of the Salisbury Wicomico Economic Development Corporation indicates
that this Microwave Technology cluster covers 23% of the manufacturing base in Wicomico County
alone. “The microwave industry is clearly the fastest growing industry sector here” Ryan states. The
cluster could not have formed without Bernstein and his philosophy on growing jobs and business.
Several others tried to establish companies in this sector and failed. Bernstein’s companies and the
ones that spun off were the foundation for the cluster.
The Bernstein philosophy for growth was to multiply himself through other people. The consummate
entrepreneur, Dick honed in on an idea or concept developed a plan for design and production ‐ then
taught others to reproduce it. Dick says, “Simply create a procedure and do a design that could be
followed. Then teach that process to other employees. Then establish good marketing.”
As K&L moved into machining Technology it became the first company to bring CNC (Computer
Numerical Control) equipment ‐ where a computer that drives the machining process – to the Eastern
Shore. This allowed for one machinist to do the complicated, highly skilled work, and then entry level
people could be trained through local community college. Soon that community college‐trained
employee is operating a machine by knowledge of a computer. This created a large need for entry level
people and maximized performance and productivity.
Dick believes the key to growing business is to trust and invest in the workforce. He states, “You can
grow your business when there’s opportunity at the entry level” he states. “You bring them in, offer
training, help them develop skills, pay them well, offer good benefits, provide the best equipment and
support entrepreneurial spirit where you find it. Turnover will be low, and continuity with people
breeds comfort and trust.”
In the last 38 years, Dick Bernstein has started, purchased or directly been a part of developing nine
companies on the Eastern Shore that include K&L Microwave, Lorch Microwave, Filter Networks,
MaTech, and MSI (Manufacturing Support Industries) in Salisbury; BAI Aerosystems, and Salisbury
Pewter in Easton; and LWRC International in Cambridge. From these companies, there have been
numerous spin‐off companies and support companies started and developed. Additionally, Dick has
completed Waterside Village, a mixed use shopping and commercial center in Talbot County successfully
bringing Target to Easton after many failed attempts by others.
Today, Dick is directly linked to the employment over 2000 workers on the Eastern Shore, and
companies that draw outside investment of more than $200 million annually and provide over $75
million in payroll. It is estimated that the secondary jobs from spin‐off and support companies would
take the job count to between 5000 and 10,000 on the Eastern Shore alone.
Dick is now the Majority Owner of LWRC International. In April of 2008, Mr. Bernstein bought
substantially all assets Land Warfare Resource Corporation an now acts as the President and CEO of
LWRC International. LWRC International is a defense contracting company that continues Dick’s trend in
establishing high‐tech manufacturing on the Eastern Shore. An American Small Arms Manufacturer,
LWRCI has seen explosive growth poised for expansion and to create a significant number of well‐paying
jobs in Dorchester County. Under direction of Mr. Bernstein, LWRCI is on track for 2009 sales in excess
of 25 million dollars and has shipped over 22,000 M6 Carbines to Commercial Distributors, entities of
the U.S. Government, and Foreign Government end users in its first full year of production at the new
facility in Cambridge, MD. Dick was able to do this by leveraging the strengths of his other DOD
Manufacturing companies. MaTech (Machining Technologies), and MSI (Manufacturing Support
Industries) also located on the Eastern Shore of Maryland had the infrastructure, human resources and
experienced Executive staff to allow LWRCI to vertically integrate manufacturing by bringing complete
control of manufacturing and quality assurance in house. This trio of companies has infrastructure and
manufacturing capability in excess of the Colt’s Defense. Colt’s is the current prime vendor for U.S.
Army’s carbine. Bringing LWRCI, Matech and MSI together was a natural marriage. In addition to
manufacturing LWRCI carbines and rifles, the team manufactures approximately 40% of the M240 and
M249 Machine Gun’s for FNMI (Fabrique Nationale Manufacturing Inc.) and for the U.S. Government
direct. Every 120mm Mortar Fin Assembly used by American Forces comes from the LWRCI team. Every
back up iron sight for the US Army's M4 Carbine and M16 Rifle comes from the LWRCI team. Every Bradley
Fighting Vehicle Up‐Armor kit comes from the LWRCI team. These are just a few examples of the work
Mr. Bernstein’s team currently does for the Department of Defense.
For years, Dick Bernstein has been recognized as a leader in business and a notable entrepreneur. He
sits on the Boards of Washington College, Chesapeake Utilities, M & T Bank, Eastern Shore

Professorship is an endowed chair position that encourages outstanding performance among students
and faculty at UMES. Additionally, Dick puts in volunteer time to help entrepreneurs locally through
SCORE (Service Corps Of Retired Executives) and the Eastern Shore Entrepreneurship Center.

Over 30 years ago, Mr. Bernstein and one other person began K&L Microwave. Though he is not an
Economic Development professional, Dick Bernstein has pioneered the growth of modern
manufacturing on the Eastern Shore, built one of the top microwave industry clusters in America, and
created more jobs in the eight counties east of the Chesapeake Bay than any other single person in
Maryland’s Eastern Shore history.
Dick obtained an Engineering Degree. After college, Dick worked as an engineer in telecommunications
in several companies on the Western Shore and Indiana. He married and began raising a family. In early
1970 a recession hit and Dick’s Indiana employer was downsizing. Dick returned home and to start his
own small company.
At age 29, he began K&L Microwave in Salisbury, MD with himself and one other employee. But Dick led
K&L Microwave to success, and when he sold it 13 years later it employed 250 people and sold over $15
million that year. Five years later K&L sold $25 million, and today the company employs over 500
workers. Dick purchased another microwave technology manufacturer, Lorch Microwave and brought it to Salisbury.
Additionally, entrepreneurs employed by Dick spun off their own microwave technology companies
increasing the industry sector exponentially and making the Salisbury area one of the largest clusters of
its kind in the United States.
Dave Ryan, Executive Director of the Salisbury Wicomico Economic Development Corporation indicates
that this Microwave Technology cluster covers 23% of the manufacturing base in Wicomico County
alone. “The microwave industry is clearly the fastest growing industry sector here” Ryan states. The
cluster could not have formed without Bernstein and his philosophy on growing jobs and business.
Several others tried to establish companies in this sector and failed. Bernstein’s companies and the
ones that spun off were the foundation for the cluster.
The Bernstein philosophy for growth was to multiply himself through other people. The consummate
entrepreneur, Dick honed in on an idea or concept developed a plan for design and production ‐ then
taught others to reproduce it. Dick says, “Simply create a procedure and do a design that could be
followed. Then teach that process to other employees. Then establish good marketing.”
As K&L moved into machining Technology it became the first company to bring CNC (Computer
Numerical Control) equipment ‐ where a computer that drives the machining process – to the Eastern
Shore. This allowed for one machinist to do the complicated, highly skilled work, and then entry level
people could be trained through local community college. Soon that community college‐trained
employee is operating a machine by knowledge of a computer. This created a large need for entry level
people and maximized performance and productivity.
Dick believes the key to growing business is to trust and invest in the workforce. He states, “You can
grow your business when there’s opportunity at the entry level” he states. “You bring them in, offer
training, help them develop skills, pay them well, offer good benefits, provide the best equipment and
support entrepreneurial spirit where you find it. Turnover will be low, and continuity with people
breeds comfort and trust.”
In the last 38 years, Dick Bernstein has started, purchased or directly been a part of developing nine
companies on the Eastern Shore that include K&L Microwave, Lorch Microwave, Filter Networks,
MaTech, and MSI (Manufacturing Support Industries) in Salisbury; BAI Aerosystems, and Salisbury
Pewter in Easton; and LWRC International in Cambridge. From these companies, there have been
numerous spin‐off companies and support companies started and developed. Additionally, Dick has
completed Waterside Village, a mixed use shopping and commercial center in Talbot County successfully
bringing Target to Easton after many failed attempts by others.
Today, Dick is directly linked to the employment over 2000 workers on the Eastern Shore, and
companies that draw outside investment of more than $200 million annually and provide over $75
million in payroll. It is estimated that the secondary jobs from spin‐off and support companies would
take the job count to between 5000 and 10,000 on the Eastern Shore alone.
Dick is now the Majority Owner of LWRC International. In April of 2008, Mr. Bernstein bought
substantially all assets Land Warfare Resource Corporation an now acts as the President and CEO of
LWRC International. LWRC International is a defense contracting company that continues Dick’s trend in
establishing high‐tech manufacturing on the Eastern Shore. An American Small Arms Manufacturer,
LWRCI has seen explosive growth poised for expansion and to create a significant number of well‐paying
jobs in Dorchester County. Under direction of Mr. Bernstein, LWRCI is on track for 2009 sales in excess
of 25 million dollars and has shipped over 22,000 M6 Carbines to Commercial Distributors, entities of
the U.S. Government, and Foreign Government end users in its first full year of production at the new
facility in Cambridge, MD. Dick was able to do this by leveraging the strengths of his other DOD
Manufacturing companies. MaTech (Machining Technologies), and MSI (Manufacturing Support
Industries) also located on the Eastern Shore of Maryland had the infrastructure, human resources and
experienced Executive staff to allow LWRCI to vertically integrate manufacturing by bringing complete
control of manufacturing and quality assurance in house. This trio of companies has infrastructure and
manufacturing capability in excess of the Colt’s Defense. Colt’s is the current prime vendor for U.S.
Army’s carbine. Bringing LWRCI, Matech and MSI together was a natural marriage. In addition to

M249 Machine Gun’s for FNMI (Fabrique Nationale Manufacturing Inc.) and for the U.S. Government
direct. Every 120mm Mortar Fin Assembly used by American Forces comes from the LWRCI team. Every
back up iron sight for the US Army's M4 Carbine and M16 Rifle comes from the LWRCI team. Every Bradley
Fighting Vehicle Up‐Armor kit comes from the LWRCI team. These are just a few examples of the work

LWRC piston rifles
LWRC of Springfield, VA features short-stroke piston-operated rifles in 5.56 NATO and 6.8 SPC. (Haven't heard much about 6.8 SPC in a while.)

David Crane @ Defense Review has a detailed post on the company's premiere offering, the M6A2. Peter G. Kokalis also gave it a good review.
While David Crane spells out LWRC as "Land Warrior Resource Corporation," the History page at the LWRC says "Leitner-Wise Rifle Company." Whichever. Apparently they are "migrating" the name to what DC says, though it's hard to find that spelled out on their site.

HOUSTON -- American Security Resources Corporation (OTCBB:ARSC), www.americansecurityresources.com, announced today that it has signed a Memorandum of Understanding with principal shareholders and officers of Leitner-Wise Rifle Company (LWRC) to acquire all the stock of LWRC.
This looks like the result of a serious financial situation (either bankruptcy or approaching bankruptcy), but we can't tell for sure.
In January of 2006, the company was purchased in a Management Buyout by Pat Bryan who is the Chairman/CEO of LWRC and an Army Veteran (according to LWRC's History page)
This is the evolution of the Leitner-Wise company which once offered a .499 LW rifle using a proprietary cartridge, which was quite the sensation when revealed in 2002. The logo is the same as that used by Leitner-Wise (as ACE recalls). If one enters the URL www.leitner-wise.com/, one will be directed to the LWRC site. Here's a 14MAR2004 A-C-E post on the .499 L-W "Mini-50," now apparently defunct. (A company rep on the forum says they will bring it back, with redesigned cartridges and a piston, but it's low priority.) Paul Leitner-Wise apparently sold out, as he's not listed in the LWRC contact list.
Perhaps a member of the current LWRC management will be so kind as to post a comment explaining exactly what transpired, to clarify or correct these deductions. Confirmed facts are preferred.

UPDATE: Apparently Paul Leitner-Wise was ousted from LWRC after it was determined he was posting negative comments about competitors' firearms and false excuses for LWRC delivery delays under a pseudonym on firearms boards, as semi-documented in this HKPRO forum thread (read down to find the interchange). Thanks to CH77 for alerting us to this in a comment.
VaDinger: This got out because one AR15.com staff member happened to check IP addresses on the accounts. Then others who had communicated with both Paul L-W and his alter ego Hipfiredgun & others checked into it also. They both came up with the same answer. They were the same person or at the very least posting from the exact same computer.
MisterJG (presumably Jesse Gomez – Vice President, Design and Engineering): "I clearly stated that a link to thread on ar15.com was brought to my attention, I then did some additional research and presented the facts to the CEO. We then contacted AR15 management to provide us with their findings, that along with supporting facts found on PLW's harddrive was cause to end employment. AR15 management worked with us to get to the bottom of what happened."

I know that they are now running about claiming misrepresentation by a single individual, but I do not understand how he could have used everyones accounts without anyone looking at the internet and saying "hey I did not write this, WTF is going on".

Firearms historian Daniel E. Watters notes, in a commenet, the major investment Koniag, Inc., an Alaskan Native Claims Settlement Act (ANSCA) company, pumped into Leitner-Wise as the major shareholder beginning in 2004, only to see L-W lose nearly $2 Million in 2005 and $2.5 Million in 2006. Koniag took a writeoff to divest itself of L-W in 2006, as noted in its 2006 Annual Report:

LWRC piston rifles
LWRC of Springfield, VA features short-stroke piston-operated rifles in 5.56 NATO and 6.8 SPC. (Haven't heard much about 6.8 SPC in a while.)
This page shows how the piston operates.
David Crane @ Defense Review has a detailed post on the company's premiere offering, the M6A2. Peter G. Kokalis also gave it a good review.
While David Crane spells out LWRC as "Land Warrior Resource Corporation," the History page at the LWRC says "Leitner-Wise Rifle Company." Whichever. Apparently they are "migrating" the name to what DC says, though it's hard to find that spelled out on their site.

Business Wire on 09NOV2004 announced:
HOUSTON -- American Security Resources Corporation (OTCBB:ARSC), www.americansecurityresources.com, announced today that it has signed a Memorandum of Understanding with principal shareholders and officers of Leitner-Wise Rifle Company (LWRC) to acquire all the stock of LWRC.
This looks like the result of a serious financial situation (either bankruptcy or approaching bankruptcy), but we can't tell for sure.
In January of 2006, the company was purchased in a Management Buyout by Pat Bryan who is the Chairman/CEO of LWRC and an Army Veteran (according to LWRC's History page)
This is the evolution of the Leitner-Wise company which once offered a .499 LW rifle using a proprietary cartridge, which was quite the sensation when revealed in 2002. The logo is the same as that used by Leitner-Wise (as ACE recalls). If one enters the URL www.leitner-wise.com/, one will be directed to the LWRC site. Here's a 14MAR2004 A-C-E post on the .499 L-W "Mini-50," now apparently defunct. (A company rep on the forum says they will bring it back, with redesigned cartridges and a piston, but it's low priority.) Paul Leitner-Wise apparently sold out, as he's not listed in the LWRC contact list.
Perhaps a member of the current LWRC management will be so kind as to post a comment explaining exactly what transpired, to clarify or correct these deductions. Confirmed facts are preferred.

UPDATE: Apparently Paul Leitner-Wise was ousted from LWRC after it was determined he was posting negative comments about competitors' firearms and false excuses for LWRC delivery delays under a pseudonym on firearms boards, as semi-documented in this HKPRO forum thread (read down to find the interchange). Thanks to CH77 for alerting us to this in a comment.
VaDinger: This got out because one AR15.com staff member happened to check IP addresses on the accounts. Then others who had communicated with both Paul L-W and his alter ego Hipfiredgun & others checked into it also. They both came up with the same answer. They were the same person or at the very least posting from the exact same computer.
MisterJG (presumably Jesse Gomez – Vice President, Design and Engineering): "I clearly stated that a link to thread on ar15.com was brought to my attention, I then did some additional research and presented the facts to the CEO. We then contacted AR15 management to provide us with their findings, that along with supporting facts found on PLW's harddrive was cause to end employment. AR15 management worked with us to get to the bottom of what happened."
Bill Alexander of Alexander Arms expressed his disgust at the tactics on his 6.5 Grendal forum:

I know that they are now running about claiming misrepresentation by a single individual, but I do not understand how he could have used everyones accounts without anyone looking at the internet and saying "hey I did not write this, WTF is going on".

While traditionally investing in most anything defense related was a first class ticket to the gravy train- if the budget balancers are doing more than lip service to the issue I'd say the first class ride on the taxpayer dime could be derailed as a critical eye should be given to actual value of the boutique weaponry over other less sexy but as deadly weapons.
Current spread the wealth DOD contracts that have weapons build peicemeal by as many companies spread across as many congressional fiefdoms might be a thing of the past.
War will always be a money maker for American Industry but thats not to say EVERY American defense contractor will be in business in a few years.
I handled one of their rifles in Easton Maryland last year. Sweet rifle but the price tag was outragious. No doubt part of its appeal. Snobbery is as American as Sky Boxes in baseball.
Maybe the Hide should start a Defense Contractor Stock Investor thread.

i love the reloading forum, rimfire, semiauto, and here, i read them every visit and make a few contributions, do you ever read beyond this forum ? besides i love kicking ignorants ass's here as this site, it is so entertaining and soothing !
